By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
Vilva provides an AI-powered visual knowledge management platform accessed through online software, APIs, web applications, and mobile applications. The Service enables users to:
AI capabilities are provided through our integration with third-party AI model providers. The Service is continuously evolving, and features, models, capabilities, pricing, and functionality may change at any time.
You must be at least 13 years old (or older if required by law in your jurisdiction) and capable of forming a binding contract. You are responsible for safeguarding your account credentials and all activity under your account.
"User Content" means any data, text, files, images, videos, graphics, prompts, or other material you upload, create, post, or otherwise transmit via the Service.
Except for User Content, the Service and all software, designs, text, graphics, and trademarks are the exclusive property of Vilva or its licensors and are protected by U.S. and international IP laws. We grant you a limited, revocable, non‑transferable license to use the Service in accordance with these Terms.
You agree not to:
AI Capabilities. Vilva integrates AI services to generate, transform, and analyze content, including images, videos, text, and structured knowledge graphs. These services are provided by third-party AI model providers.
Accuracy & Errors. AI models are probabilistic and may produce inaccurate, biased, offensive, nonsensical, or misleading output. AI-generated images or videos may contain artifacts, distortions, or unintended elements. You are solely responsible for reviewing, verifying, and validating any AI-generated content before using, publishing, or relying on it.
No Guarantees. Vilva does not warrant that:
Your Ownership & Commercial Rights. You own all AI-generated content. If your plan includes commercial use rights (Lite, Pro, Max), you are fully licensed to use that content however you wish—sell it, modify it, publish it, commercialize it—without limitation or additional licensing required from Vilva.
Your Responsibility (Not a Restriction). As the owner of generated content, you bear the same responsibilities any creator does:
No Vilva Liability. Vilva is not liable for any third-party claims about generated content originality or IP infringement. You accept all risk and responsibility for how you use content you own.
Third-Party Provider Terms. AI services are subject to the terms and conditions of the underlying AI model providers (OpenAI, Anthropic, Google, Grok, etc.). By using Vilva's AI features, you agree to be bound by those provider terms. Vilva is not liable for any limitations, errors, or discontinuation of third-party AI services.
Model Changes. Vilva may change, upgrade, downgrade, or discontinue AI models, providers, or capabilities at any time without notice or liability. Your use indicates acceptance of any such changes.
Service Pricing. Features, pricing, plan tiers, credit allocations, and billing models are subject to change at any time. Vilva may introduce, modify, deprecate, or discontinue plans without prior notice. Continued use indicates acceptance of updated pricing.
Payment Terms. All fees are in U.S. dollars unless otherwise stated. Prices are non-refundable except as required by law. You authorize Vilva and our payment processors (Stripe, etc.) to charge your payment method for all fees and applicable taxes.
Subscription Auto-Renewal. Monthly and annual subscription plans automatically renew at the end of each billing period unless you cancel before the renewal date. Cancellation can be completed in-app or by contacting support@vilva.ai.
AI Credits. Subscription plans include monthly or one-time AI credit allocations. Credits are used to generate content, run AI features, or consume API calls. Unused credits reset monthly (for subscription plans) or never expire (for lifetime or pay-as-you-go credits). We reserve the right to adjust credit costs, introduce new pricing tiers, or modify credit allocation formulas.
Plan Limits & Enforcement. Each plan includes specific limits (workspaces, storage, concurrent generations, etc.). Vilva enforces these limits and may restrict or throttle access if you exceed your plan's allocation. Upgrading to a higher plan removes or increases these limits.
Commercial Use License & Ownership. Your plan determines what you can do with AI-generated content:
This license covers your use of generated content only. It does not grant you rights to Vilva's technology, the underlying AI models, or third-party IP used in training data. But your generated outputs? They're entirely yours to commercialize.
Taxes. You are responsible for all applicable taxes, VAT, or sales taxes on your purchases. Vilva will charge taxes where required by law.
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful.
The Service is provided "as is" and "as available." While we do not guarantee the Service will be uninterrupted or error-free, we make commercially reasonable efforts to ensure its security in accordance with our Privacy Policy. Except for these efforts, Vilva disclaims all warranties.
To the fullest extent permitted by law, Vilva and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or related to the Service or these Terms, even if advised of the possibility. Our aggregate liability shall not exceed the greater of (a) $100 or (b) the amounts you paid to Vilva in the 12 months preceding the claim.
You agree to indemnify and hold harmless Vilva, its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.
These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict‑of‑law principles. Any dispute will be resolved exclusively in the state or federal courts located in Cook County, Illinois, unless mandatory arbitration is required under applicable law. You and Vilva waive any right to a jury trial.
Service Modifications. Vilva may modify, enhance, deprecate, or discontinue any feature, functionality, model, or capability at any time, with or without notice. We may change which AI models are available, retire outdated integrations, or restructure the Service architecture.
Plan Changes. We may introduce new plans, modify existing plans, adjust pricing, alter credit allocations, change feature availability per plan, or discontinue plans entirely. Such changes may apply to new subscribers immediately and to existing subscribers at the next renewal cycle or upon 30 days' notice.
Terms Updates. We may update these Terms at any time. Material changes will be announced via email or in-app notification. Your continued use after changes become effective constitutes acceptance. If you do not accept updated Terms, you may cancel your account.
No Liability for Changes. Vilva is not liable for any loss, inconvenience, or expense arising from changes to the Service, plans, features, pricing, or terms.
These Terms, together with the Privacy Policy and any supplemental agreements, constitute the entire agreement between you and Vilva. If any provision is held invalid, the remaining provisions will remain in full force.
