1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Vilva provides online software, APIs, and mobile applications that allow users to create, store, visualize, and share graph‑based notes and AI‑generated content.

3. Eligibility & Accounts

You must be at least 13 years old (or older if required by law in your jurisdiction) and capable of forming a binding contract. You are responsible for safeguarding your account credentials and all activity under your account.

4. User Content

"User Content" means any data, text, files, graphics, or other material you upload, post, or otherwise transmit via the Service.

  • Ownership. You retain all rights to your User Content.
  • License to Vilva.You grant Vilva a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, analyze, and transform your User Content solely to provide, maintain, and secure the Service. We will not use your User Content to train our AI models unless you provide explicit, opt-in consent.
    To provide AI features, we may transmit necessary User Content to third-party AI model providers. We use industry-leading providers, to not use your User Content for training their models or for any purpose other than providing the Service to you.
  • Warranties. You represent that you have all necessary rights to upload the User Content and that it does not violate any law or third‑party rights.

5. Intellectual Property

Except for User Content, the Service and all software, designs, text, graphics, and trademarks are the exclusive property of Vilva or its licensors and are protected by U.S. and international IP laws. We grant you a limited, revocable, non‑transferable license to use the Service in accordance with these Terms.

6. Acceptable Use

You agree not to:

  • Copy, modify, or reverse‑engineer any part of the Service;
  • Upload unlawful, harmful, or infringing content;
  • Use the Service to violate the rights of others or any law;
  • Interfere with or disrupt the Service or its security;
  • Use any automated system (e.g., bots, scrapers) without our prior written consent;
  • Misrepresent your affiliation with any person or entity.

7. AI & Fair Use Notice

Vilva may generate or transform content using machine‑learning models. AI responses are probabilistic and may contain errors or biased output. You are solely responsible for verifying the accuracy and legality of any AI‑generated content before relying on or distributing it. Use of AI output should comply with applicable fair‑use laws and third‑party rights.

8. Paid Plans & Billing

Some features require payment. All fees are in U.S. dollars and are non‑refundable except as required by law. Subscription plans automatically renew unless canceled before the end of the current term. You authorize us (and our payment processors) to charge your payment method.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available." While we do not guarantee the Service will be uninterrupted or error-free, we make commercially reasonable efforts to ensure its security in accordance with our Privacy Policy. Except for these efforts, Vilva disclaims all warranties.

11. Limitation of Liability

To the fullest extent permitted by law, Vilva and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or related to the Service or these Terms, even if advised of the possibility. Our aggregate liability shall not exceed the greater of (a) $100 or (b) the amounts you paid to Vilva in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Vilva, its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict‑of‑law principles. Any dispute will be resolved exclusively in the state or federal courts located in Cook County, Illinois, unless mandatory arbitration is required under applicable law. You and Vilva waive any right to a jury trial.

14. Changes to the Service or Terms

We may modify the Service or these Terms at any time. If changes are material, we will notify you via the Service or email. Your continued use after the effective date constitutes acceptance of the revised Terms.

15. Entire Agreement & Severability

These Terms, together with the Privacy Policy and any supplemental agreements, constitute the entire agreement between you and Vilva. If any provision is held invalid, the remaining provisions will remain in full force.

Vilva.ai ("Vilva," "we," "our," or "us") provides an AI‑powered knowledge‑management platform that helps you capture, organize, and visualize ideas as interconnected graphs. Protecting your privacy is important to us. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you access or use the Service.

By using the Service, you consent to the practices described below. If you do not agree, please do not use the Service.

  • Authenticate users and secure accounts;
  • Process transactions and send related information, including confirmations and invoices;
  • Monitor and prevent fraud, abuse, and security incidents;
  • Respond to inquiries, comments, and requests for technical support;
  • Develop new products and features based on aggregated, non-identifiable usage trends;
  • Conduct analytics and aggregate statistics;
  • Send administrative messages and, with your consent, marketing communications;
  • Comply with legal obligations and enforce our Terms of Service.

4. Legal Bases for Processing (EEA/UK Users)

We process personal data based on: contractual necessity, legitimate interests (e.g., security, product improvement), consent (where required, such as for marketing cookies), and legal obligations.

5. Sharing & Disclosure

We do not sell your personal information. We disclose information only:

  • To trusted service providers (cloud hosting, AI model hosting, analytics, payment processors) under strict confidentiality obligations;

  • To protect the rights, property, or safety of Vilva, our users, or the public;

6. Your Choices & Rights

Depending on your location, you may have rights to access, correct, delete, or port your data, object to or restrict processing, and withdraw consent. Submit requests at privacy@vilva.ai. We respond within 30 days.

7. Cookies & Similar Technologies

Vilva uses first‑party and third‑party cookies, local storage, and similar technologies for session management, preferences, analytics, and marketing. You can control cookies through browser settings. Disabling cookies may limit functionality.

8. Data Retention

We retain personal data for as long as your account is active or as needed to provide the Service. We may retain logs and backups for up to 90 days after deletion for security and disaster‑recovery purposes, unless a longer period is required by law.

9. Security

We implement industry‑standard administrative, technical, and organizational safeguards, including encryption in transit (TLS 1.2+), encryption at rest, least‑privilege access controls, routine penetration testing, and incident‑response procedures.

10. International Transfers

We are based in the United States. If you access the Service from outside the U.S., you consent to transferring, storing, and processing your information in the U.S. and other jurisdictions. We rely on Standard Contractual Clauses or equivalent safeguards for cross‑border data transfers where required.

11. Children's Privacy

Vilva is not directed to children under 13. We do not knowingly collect personal information from children. If you believe a child has provided us with personal data, contact us so we can delete it.

12. Third‑Party Links & Services

The Service may contain links to third‑party sites, APIs, or AI models not operated by Vilva. We do not control and are not responsible for their privacy practices. Review their policies before providing data.

13. Changes to This Privacy Policy

We may update this Policy from time to time. We will post the revised policy with a new "Last updated" date and, if changes are material, provide prominent notice or obtain consent where required.
